5. Subscription Plans, Fees, Taxes, Trials, & Refunds

5.1 Plans and Pricing

The Services are offered under different subscription plans, each with associated features, usage limits, and fees, as described at the time of purchase or in an order form. You agree to pay all fees applicable to your chosen plan. Overage fees may apply if you exceed the limits specified for your plan.

5.2 Prepaid and Non-Refundable Nature of Fees

Unless otherwise expressly stated in these Terms or required by applicable law, all subscription fees are billed in advance and are non-refundable. This includes situations where you cancel prior to the end of your Subscription Term, downgrade your plan, or fail to use the Services.

5.3 Trials and Evaluation Periods

We may, at our discretion, offer access to the Services on a trial, evaluation, or promotional basis.

l If you do not upgrade to a paid plan prior to the expiration of the trial, your access may automatically expire and your data may be deleted in accordance with Section 11 (Data Processing & Privacy).

l Some trials may be structured as “auto-convert” plans, where your payment method is charged at the end of the trial unless you cancel before the stated deadline.

5.4 Taxes and Withholdings

All fees are exclusive of taxes (including, but not limited to, VAT, GST, sales tax, use tax, and withholding tax).

l You are solely responsible for payment of all such taxes arising from your subscription, except those based on GEOReport’s income.

l If we are legally obligated to collect such taxes, they will be added to your invoice and billed accordingly.

5.5 Late or Failed Payments

If your payment method is declined, or if you fail to pay fees when due:

l GEOReport may suspend or restrict access to your Account and Services;

l We may apply a late payment charge equal to the lesser of 1.5% per month or the maximum rate permitted by law;

l You will remain responsible for all unpaid amounts, and reactivation of your Account may require full payment of past due balances plus applicable fees.

5.6 Price Adjustments

We reserve the right to change subscription fees, billing models, or plan features at the time of renewal.

l Any changes will be communicated to you in advance, via email or within the Services.

l If you do not agree to the new fees, you may cancel your subscription in accordance with Section 20 (Effects of Termination & Survival) prior to the renewal date.

5.7 Currency and Exchange Rates

Fees are payable in the currency specified at checkout. If your payment method involves currency conversion, applicable exchange rates and fees are your responsibility.
