19. Term, Suspension, & Termination
19.1 Term
These Terms commence on the date you first create an Account, subscribe, or otherwise use the Services and remain in effect for the duration of your Subscription Term, unless terminated earlier in accordance with this Section. Renewal of your Subscription Term is governed by Section 5 (Subscription Plans, Fees, Taxes, Trials, & Refunds).
19.2 Suspension of Services
GEOReport may suspend your access to the Services, in whole or in part, with or without notice, if:
d) You fail to pay fees when due;
e) You breach these Terms or misuse the Services in violation of Section 7 (Acceptable Use);
f) Your use of the Services creates a security risk, reputational risk, or potential liability for GEOReport, its infrastructure, or other Users;
g) Suspension is required by law, regulation, or government request.
Suspension does not relieve you of your obligation to pay applicable fees.
19.3 Termination by Either Party
Either party may terminate these Terms or a specific subscription:
a) For Convenience — Effective at the end of the then-current Subscription Term by providing notice of non-renewal.
b) For Breach — If the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice (or shorter period if required by law).
19.4 Termination by GEOReport for Cause
GEOReport may immediately terminate your Account and access to the Services if:
a) You engage in fraudulent, illegal, or abusive activity;
b) You materially breach Sections 6–9 (License, Acceptable Use, User Content, Intellectual Property);
c) Required to do so by law or regulatory authority.
19.5 Effect of Suspension or Termination
Upon suspension or termination:
a) Your license to access the Services ceases immediately;
b) GEOReport may retain your Content for a limited period consistent with Section 11 (Data Processing & Privacy) to facilitate potential reinstatement, unless deletion is required by law;
c) GEOReport will have no liability arising from any suspension or lawful termination of Services.
19.6 Survival
Provisions that by their nature are intended to survive termination (including Sections 5, 6, 7, 8, 9, 11, 16–22, and 24) shall continue in full force and effect.
